By accessing or using SnapshotLink ("Service"), operated by SnapshotLink ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service. We reserve the right to update these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and SnapshotLink.

SnapshotLink is a digital asset management (DAM) platform that allows users to:

- Upload, store, and organize digital files (images, videos, documents, and other media) in folder structures - Create and share custom galleries - Build manual and smart collections with rule-based filtering - Add custom metadata attributes to files - Search, filter, and share digital assets

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice to active subscribers. We will not be liable for any modification, suspension, or discontinuation of the Service.

To use SnapshotLink, you must create an account. You agree to:

- Provide accurate, current, and complete registration information - Maintain the security of your password and accept responsibility for all activity under your account - Promptly notify us of any unauthorized use of your account at [email protected] - Not share your account credentials with others or allow others to access your account

You must be at least 16 years of age to create an account. We reserve the right to terminate accounts that violate these Terms or that have been inactive for more than 24 consecutive months.

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal purposes.

This license does not include the right to:

- Resell or commercially exploit the Service or its content - Scrape, crawl, or systematically download data from the Service - Modify, reverse engineer, decompile, or create derivative works of the Service - Remove any proprietary notices or labels from the Service - Use the Service to develop a competing product

All rights not expressly granted in these Terms are reserved by SnapshotLink.

Your Ownership You retain all ownership rights to the digital assets, files, and content you upload to the Service ("Your Content"). These Terms do not transfer ownership of Your Content to SnapshotLink.

License to SnapshotLink By uploading Your Content, you grant SnapshotLink a limited, worldwide, royalty-free license to host, store, process, display, and transmit Your Content solely for the purpose of operating and providing the Service to you. This license terminates when you delete the content or close your account.

Your Responsibility You are solely responsible for Your Content. You represent and warrant that: - You have all rights, licenses, and permissions necessary to upload and use Your Content on the Service - Your Content does not infringe any third-party intellectual property, privacy, or publicity rights - Your Content does not violate any applicable laws or regulations

DMCA We respect intellectual property rights. If you believe content on the Service infringes your copyright, please send a DMCA notice to [email protected] with the required information.

You agree not to use the Service to:

- Upload, share, or distribute illegal content, including content that violates copyright, trademark, or other intellectual property rights - Store or share child sexual abuse material (CSAM) or any content that exploits minors - Upload malware, viruses, or other malicious code - Conduct or facilitate phishing, scams, or fraudulent activities - Harass, threaten, or harm other users or third parties - Violate any applicable local, national, or international laws or regulations - Attempt to gain unauthorized access to other accounts, systems, or networks - Use the Service in any manner that could damage, disable, overburden, or impair it - Scrape, mine, or extract data from the Service without our written permission - Use automated bots or scripts to interact with the Service without our consent - Engage in any activity that interferes with or disrupts the Service or its servers

Violation of these prohibitions may result in immediate account termination and may be reported to appropriate law enforcement authorities.

Paid Plans Certain features of the Service require a paid subscription. By subscribing, you agree to pay all applicable fees.

Billing Subscriptions are billed in advance on a monthly or annual basis. All fees are exclusive of applicable taxes, which are your responsibility.

Automatic Renewal Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel through your account settings.

Refunds We offer a 14-day money-back guarantee for new subscriptions. After 14 days, fees are non-refundable except where required by law.

Price Changes We may change subscription prices with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new price.

Failed Payments If payment fails, we will retry and notify you. Accounts with overdue payments may be suspended or downgraded to the free tier after a grace period.

Your use of the Service is also governed by our Privacy Policy, which is incorporated by reference into these Terms. By using the Service, you consent to our collection and use of information as described in the Privacy Policy.

We strive to maintain 99.9% uptime for paid plans. However, we do not guarantee uninterrupted access to the Service. The Service may be temporarily unavailable due to:

- Scheduled maintenance (we will provide advance notice when possible) - Emergency maintenance - Circumstances beyond our reasonable control (force majeure events)

SnapshotLink shall not be liable for any losses resulting from Service unavailability, except as expressly set out in any SLA agreement with enterprise customers.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

SnapshotLink does not warrant that: (a) the Service will function uninterrupted, secure, or error-free; (b) the results of using the Service will meet your requirements; (c) any errors in the Service will be corrected.

Some jurisdictions do not allow the exclusion of certain warranties, so the above exclusions may not apply to you.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SNAPSHOTLINK, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

(a) Your access to or use of (or inability to access or use) the Service (b) Any conduct or content of third parties on the Service (c) Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL SNAPSHOTLINK'S AGGREGATE LIABILITY EXCEED THE GREATER OF: (i) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (ii) ONE HUNDRED US DOLLARS ($100).

You agree to indemnify, defend, and hold harmless SnapshotLink and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

- Your use of the Service - Your violation of these Terms - Your violation of any third-party rights, including intellectual property rights - Your Content or anything you upload, share, or transmit through the Service

By You You may terminate your account at any time by contacting [email protected] or through your account settings. Upon termination, your right to use the Service ceases immediately.

By Us We may suspend or terminate your account immediately, without prior notice or liability, for any reason, including if you breach these Terms or if we reasonably believe your use poses a security risk or legal exposure to us or other users.

Effect of Termination Upon termination, all data associated with your account will be deleted within 30 days (except as required by law). We are not liable for data loss following account termination. We recommend exporting your data before closing your account.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Dispute Resolution Before filing a claim, you agree to attempt to resolve any dispute informally by contacting us at [email protected]. We will try to resolve the dispute within 60 days.

Arbitration If informal resolution fails, disputes shall be resolved by binding arbitration under the American Arbitration Association rules, except for claims that may be brought in small claims court.

Class Action Waiver You agree that any arbitration will be conducted on an individual basis and not as a class action. You waive your right to participate in a class action lawsuit.

Exceptions Either party may seek injunctive relief in any court of competent jurisdiction for claims involving intellectual property or confidentiality obligations.

Entire Agreement These Terms, together with our Privacy Policy, constitute the entire agreement between you and SnapshotLink regarding the Service.

Severability If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

No Waiver Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

Assignment You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.

Force Majeure Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control.
